How to Register as an Investment Adviser

State or SEC, ADV Parts 1 and 2, and the questions to settle before you file.

Registering as an investment adviser is not hard because the paperwork is complex. It is hard because a handful of early decisions, made before you file, quietly determine your obligations for years, and most first-time registrants make them by accident.

State or SEC

The first fork is where you register. In general, advisers with assets under management below a threshold register with the state or states where they operate, and larger advisers register with the SEC, with a mid-range band that has its own rules. Getting this wrong is not a formality; it changes who examines you, what you file, and how often. It is worth settling deliberately rather than by default.

Form ADV, in two parts

Registration runs through Form ADV. Part 1 is the structured, check-the-box disclosure about your firm, your owners, your assets, and your disciplinary history. Part 2 is the plain-English brochure that describes your services, fees, conflicts, and how you handle client money, written for the client to actually read. The brochure is where many new advisers understate a conflict or a fee arrangement, not out of intent but out of unfamiliarity, and it is exactly what an examiner reads first.

What to settle before you file

The filing goes smoother when the substance is decided first: your fee structure and how it is disclosed, your custody arrangements, your advisory contracts, and the written policies you are attesting you already follow. Registration is not the finish line; it is the moment you take on ongoing obligations, from the code of ethics to the compliance program to annual updating amendments. The firms that struggle are the ones that treated the filing as the goal rather than the doorway.
